We are seeking an experienced and highly skilled Legal Director and Company Secretary to join our senior management team on a 12-month fixed-term basis and play a pivotal role in helping us achieve our vision for the future.

Role Overview The Legal Director and Company Secretarywill be a strategic leader responsible for overseeing all aspects of corporate governance, legal affairs, compliance and internal controls. You will work directly with senior business leaders across the Group and act as a principal advisor to the Board of Directors, Managing Director and Senior Management Team of the UK Group, ensuring that the companys corporate and legal matters are managed to the highest standards and in full compliance with statutory and regulatory requirements.

You will lead the legal and company secretarial function, with responsibility for progressing strategic legal initiatives across the UK Group, managing the UK Groups insurance portfolio, and providing guidance on all legal matters affecting the business.

Key Responsibilities Legal Oversight Leading and developing the legal and company secretarial function, promoting a culture of commerciality, collaboration and continuous improvement Providing advice on a broad range of legal issues including in relation to commercial contracts, procurement, disputes and claims, compliance, data protection, employment, IP and real estate Leading on the legal aspects of major transactions and disputes, managing the instruction of external legal support and the involvement of insurers Managing relationships with external legal advisers and overseeing legal expenditure to ensure effective and cost-efficient delivery of legal services Partnering with business leaders and project teams to support commercial decision-making, contract negotiation and project risk management Leading the management and renewal of the UK Group's insurance programme, including professional indemnity, public liability, employer's liability, directors' and officers' liability, cyber and general insurances, including managing relationships with brokers, insurers and claims advisers Leading or supporting strategic corporate projects as required, including acquisitions, disposals, restructurings, office relocations, business integrations and other transformational initiatives Managing the companys IP and real estate portfolios Developing and delivering internal legal training for staff across key legal areas Governance, Compliance & Internal Control Leading the development and implementation of the UK Group's legal, governance and compliance strategy, ensuring alignment with business objectives and the wider Tyréns Group strategy Acting as principal governance adviser to the Board, Managing Director and Senior Management Team and supporting the effectiveness of the Board and its decision-making processes Maintaining the corporate structure of the UK Group, including oversight of statutory registers, director appointments and other corporate filings Preparing and coordinating Board and shareholder meetings, resolutions and corporate approvals Monitoring and reporting significant legal, regulatory and compliance risks to the Board and Senior Management Team, together with appropriate mitigation strategies Leading the development and implementation of legal and compliance risk management frameworks across the UK Group Other Duties and Functions Be a proactive member of the UK Group Ops Board Acting as Company Secretary for the UK Group and ensuring compliance with all applicable company law and governance requirements Be a proactive member of the Tyréns Group Legal Team, working closely with the Group CLO and other Heads of Legal across the wider Group Key Skills & Experience Qualified solicitor in England & Wales (or equivalent common law jurisdiction) with at least 10 years' PQE, with significant experience gained in an in-house environment Experience working within the construction, engineering and/or infrastructure sectors is highly advantageous Demonstrable experience operating at a senior leadership level and influencing Board and executive decision-making Company secretarial experience and/or CGIUKI qualification (or equivalent) is highly advantageous Proven ability to balance legal risk with commercial objectives Excellent knowledge of legal compliance and regulatory requirements Experience in implementing and managing corporate governance and risk management frameworks Exceptional communication and negotiation skills, with the ability to influence people at all levels Strong attention to detail, with the ability to analyse and advise on complex matters with clarity What We Offer Competitive salary and enhanced pension contributions Enhanced annual leave entitlement Private medical insurance Flexible benefits package with a wide range of additional benefits Hybrid working arrangements, with opportunities to work from abroad (subject to approval) Annual wellbeing allowance to support activities that promote your health and wellbeing Confidential wellbeing support through our Employee Assistance Programme Paid volunteering days to support causes that matter to you Modern, award-winning office environments Professional development and training opportunities to support your career growth Opportunities to work directly with senior business leaders and multidisciplinary project teams Inclusive and collaborative working culture
